Constitution
The Club shall be called the "Antonine Probus Club"

AIM AND OBJECT

The purpose of the Club is to provide a regular meeting point for retired professional and business persons who wish to avail themselves of the opportunity of maintaining social contact with others in similar circumstances.

MEMBERSHIP

  • Membership shall be open to professional and business persons who are resident in, or had business activities in the Bearsden and Milngavie area, and have fully or partially retired from their normal profession or business.
  • An application for membership shall be sponsored by two existing members and approved by the Committee
  • The total membership shall be decided by the Committee.
  • Members leaving the area may retain their membership.
  • At the discretion of the Committee, Associate Membership may be offered to any member on application who is, by reason of incapacity, no longer able to attend Club meetings. Associate members shall receive the Club syllabus and Newsletter and may, if their incapacity permits, attend Club meetings and functions on an occasional basis. Associate members shall not have the right to vote on Club affairs.

MANAGEMENT

  • There shall be a President, Vic President, Honorary Secretary, Honorary Treasurer and the affairs of the Club shall be managed by a Committee consisting of these Officers and six others and the retiring President.
  • The President shall hold office for one year and shall automatically become a member of the Committee for one year following his retirement.
  • The Vice-President, Honorary Secretary, Honorary Treasurer and the Ordinary Members of the Committee shall retire annually but shall be eligible for re-election in the same or in any other capacity.
  • The Committee shall have powers to co-opt and to appoint sub committees.
  • Five members of the Committee shall constitute a quorum.
  • Any amendment to the Constitution shall be approved by two thirds of those present at an Annual General Meeting or a Special meeting called for that purpose.

MEETINGS

  • The Club shall hold regular meetings at a place and time to be determined by the Committee.
  • An Annual General Meeting shall be held in April of each year at such time and place as may be determined by the Committee and at least three weeks notice of such meeting shall be given to members.
  • Voting at all meetings shall be by show of hands or by ballot, if so determined.
  • In the event of an equal division of votes, the Chairman of the meeting shall have a second or casting vote.
  • In the absence of the President and Vice President, the members present shall elect a Chairman for the meeting.
  • A Special General Meeting may be called on the written request of not fewer than seven members stating the subject to be discussed.
  • Any notice of motion must be in the hands of the Honorary Secretary, in writing, at least four weeks prior to the meeting at which the motion is to be put forward.

ACCOUNTS

An Income and Expenditure Account for the twelve months to the end of March of each year shall be presented for approval to the Annual General Meeting after audit by one member appointed at the previous Annual General Meeting. The Treasurer is authorised to operate a bank account in the name of the Club and cheques and withdrawals are to be signed by the Treasurer and one Office Bearer.

SUBSCRIPTION

The annual subscription shall be fixed at the Annual General Meeting and should be paid before 31st October each year.
Associate members shall pay a reduced subscription, payable by 31st October each year.
The amount will be determined by the Committee from time to time.
